Admission of bearer shares series B, C1, D and E to the public trading on New Connect

On the 11th of May 2012 the Management of Ekokogeneracja S.A. received the Resolution No 441/2012 passed by the Management of Warsaw Stock Exchange dated 11.05.2012 in accordance to which the following shares are admitted to the public trading on NewConnect – Warsaw Stock Exchange alternative market:

1) 1.500.000 bearer shares series B with the nominal value of 0.1 PLN each,

2) 1.333.750 bearer shares series C1 with the nominal value of 0.1 PLN each,

3) 1.019.120 bearer shares series D with the nominal value of 0.1 PLN each,

4) 967.130 bearer shares series E with the nominal value of 0.1 PLN each.

On the 24^th April 2012 the Management Board of Ekokogeneracja S.A. was granted by the Warsaw Stock Exchange access to the Electronic Information Base (EBI).

As the result Ekokogeneracja S.A. will start from this date the transfer of current and periodic reports through the EBI system in accordance with Paragraph 10 of “The Warsaw Alternative Market – NewConnect Current and Periodic Report Regulations”.

Registration class E shares of the Company in National Depository for Securities

The Management of the National Depository for Securities in the Resolution No. 241/12 of 2 April 2012, decided conditionally to register class E shares of the company together with class B, C1 and D shares under the code PLEKGNR00011. The registration of class E shares will be valid after the Supervisory Board of Warsaw Stock Exchange decides to admit class E shares to the public trading on NewConnect alternative market. Share capital increase in Ekokogeneracja Trzebiechów Sp. z o. o.

On March 30th, 2012 the extraordinary shareholders meeting of Ekokogeneracja Trzebiechów Sp. z o. o. voted the share capital increase of 700.000 PLN through issue of 7.000 new shares. The nominal value and the issue price of newly issued shares is 100 PLN. After the new issue of shares is registered Ekokogeneracja S.A. will hold 3.825 shares giving 51% of equity and voting power and PPUH INTERCAL Sp. z o. o. will hold 3.675 shares giving 49% of equity and voting power at shareholders meetings.

The same time extraordinary shareholders meeting voted the issue of 3-year registered bonds with nominal value up to 2.500.000 PLN to finance the purchase of heating production line.

On February 23rd, 2012, 967.130 bearer shares class E taken up by investors in the private placement offer were registered.

Letter of Intent between LENTEX S.A. and EKOKOGENERACJA S.A.

On January 3rd, 2012 The Management of Ekokogeneracja S.A. signed the Letter of Intent with LENTEX S.A.

Ekokogeneracja S.A. will finance construction of heat energy production based on the gasification of RDF with the use of the Hydrogen Energy Generator at LENTEX S.A.’s plant in Lubliniec and will be the long-term operator of the heat production line.

LENTEX S.A. will consume the heat energy produced by Ekokogeneracja S.A.
